The Tenant acknowledges that this Agreement is a short-term licence to occupy and does not confer any rights to a tenancy or exclusive possession under the Landlord and Tenant Act 1954 or otherwise.
2. Exclusion of Basement
The Premises expressly exclude the basement area of the Building, which remains under the full control of the Landlord. The Landlord or any representative of the Landlord retains the right to access the basement at any time without prior notice. The Tenant has no rights of access to the basement except for specific purposes, such as meter readings, which require prior written consent from the Landlord.
3. Designated Hours
The Tenant may occupy and use the Premises during the Designated Hours of 8:00 AM to 8:00 PM, Monday to Sunday. Any use of the Premises outside these hours requires the prior written consent of the Landlord and may be subject to additional charges.
4. Termination Flexibility
This Agreement is subject to the terms of the Appear Here Service Agreement. Either party may terminate this Agreement by providing a minimum of 30 days’ written notice. In the event of termination, the Tenant agrees to cover any outstanding sums due to Appear Here, including service fees as defined in the Appear Here Service Agreement. The Tenant further acknowledges that Appear Here’s terms regarding cancellation, extension, or renewal will take precedence over this Agreement.
5. No Alterations or Permanent Fixtures
The Tenant shall not make any structural alterations or install permanent fixtures on the Premises without prior written consent from the Landlord. At the end of the tenancy, the Premises must be returned to the Landlord in the same condition as received, subject to normal wear and tear.
To document the condition, a video recording with a clear date stamp will be conducted at the start and end of the tenancy. If the Tenant fails to provide such recordings, the Landlord's reasonable judgment regarding the condition of the Premises shall be deemed final. The costs of remedying any damage beyond normal wear and tear will be deducted from the Deposit or charged to the Tenant as applicable.
6. Noise and Nuisance Restrictions
The Tenant shall ensure that activities on the Premises do not cause any nuisance, annoyance, or disturbance to neighboring properties or tenants. Noise levels must be kept to a minimum, particularly after 7:00 PM.
7. Utilities and Maintenance
Utilities, including electricity, water, and internet, are included in the rent. The Tenant is responsible for maintaining the Premises in a clean and tidy condition throughout the tenancy. The Landlord will remain responsible for structural repairs and building-related maintenance.
8. Security Systems and Cameras
9. The security system code will be provided to the Tenant at the start of the tenancy. The Tenant must ensure the code is not shared with anyone outside their staff. The Tenant's staff is prohibited from disclosing or distributing the code to any unauthorized individuals.
10. The external security camera must remain operational and unobstructed at all times during the tenancy. The Landlord will retain recordings for no longer than 30 days, after which they will be automatically deleted.
11. The internal security camera may be switched off or covered by the Tenant during the tenancy. It must be restored to its operational state at the end of the tenancy.
12. Toilet and Water Heater
The Tenant must ensure the water supply to the toilet and the water heater in the toilet are turned off at the end of the tenancy.
13. Security and Media Cabinet
The security and media cabinet must remain powered on at all times. Any disruption caused by the Tenant that results in maintenance or repairs will be charged to the Tenant.
14. Internet Usage
Internet access will be provided at the start of the tenancy. The Tenant agrees to use this access solely for lawful business purposes. Any misuse of the internet connection may result in the termination of access and potential liability for damages.
15. Limitation of Landlord Liability
The Landlord shall not be liable for any loss, damage, or injury arising from the Tenant’s use of the Premises, except in cases of gross negligence or willful misconduct by the Landlord.
16. Force Majeure
Neither party shall be liable for any delay or failure to perform its obligations under this Agreement due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, strikes, pandemics, or natural disasters. If such circumstances continue for more than 30 days, either party may terminate the Agreement by providing written notice.
